Emerging Companies & Venture Capital

Entity Formation. We help our clients form corporations, partnerships, LLCs and LPs in various jurisdictions. Among other things, we advise our clients on business entity and jurisdiction choice, securities compliance and other key issues concerning incorporation documents or LLC operating agreements and, in consultation with associated tax advisors, tax and accounting issues.

General Corporate Governance. We counsel businesses on day-to-day legal matters, including the entity maintenance requirements, employment law matters, and securities law compliance.

Whether litigating contract disputes or performing due diligence and legal research for startup companies in order to avoid litigation, we work closely with our clients to strive for successful outcomes.  Our attorneys have represented clients in state and federal courts to handle disputes in a range of industries, including pharmaceuticals, semiconductor technology and manufacturing, electronics, and medical devices.

Arbitration & Mediation. While similar to litigation, arbitration has developed a specialized body of rules, procedures and substantive law.  Success in arbitration requires familiarity and extensive experience with different arbitral rules and the arbitral process.   Arbitration hearings are conducted in a less formal atmosphere, where the parties are expected to make presentations in a highly professional manner that is less adversarial and structured than litigation.  Arbitration rules permit the parties to bring the case to hearing more quickly and to customize procedures to fit the needs of a particular case.  Our attorneys take advantage of such opportunities to creatively present the strongest case for our clients.
